Solera to buy data provider for $520 million
Auto insurance software company Solera Holdings Inc. said Monday it has agreed to acquire Explore Information Services LLC, a provider of data and analysis to the automotive and property and casualty insurers, for about $ 520 million in cash.
Discover Solera said services driving violation reports, which include data from 42 state governments, allow insurers to increase premiums for insurance re-underwriting. Explore services are often used by clients before and after using solutions based Solera partial loss.
Solera said it will buy all interest outstanding Explore members.The purchase will result in a tax benefit of 15 years with a present value of $ 120 million.
Discover had adjusted earnings before interest, taxes, depreciation and amortization of $ 33.9 million in the year through Dec. 31 on revenue of $ 76.8 million.
The company said it expects the acquisition to add 15 cents to 17 cents per share for its fiscal 2012 adjusted net income.
The company said it had received letters of commitment from Goldman Sachs and Bank of America Merrill Lynch for bridge loans of $ 350 million for a portion of the net purchase price.
Solera CEO Tony Aquila said the acquisition is "an efficient deployment of capital" and contribute to the objective of the company to $ 1 billion in revenue and 450 million in EPITDA adjusted by 2014 a year.
Solera shares rose $ 2.62, or 5.1 percent, to $ 53.89 in trading Monday afternoon.
